Terms of Service
Arca LLC · arcaportfolio.com · Effective October 2, 2026
These terms are a contract between you and Arca LLC. By creating a workspace, accepting an invitation, or otherwise using Arca, you agree to them. If you are using Arca for a company, you agree on its behalf and confirm you have authority to do so.
1. The service
Arca LLC, a Missouri limited liability company ("Arca", "we", "us"), provides an online portal at arcaportfolio.com for multi-owner businesses: ownership maps, financial reporting, documents, invoices, distributions, task and time management, and related features (the "Service"). The software you use to reach the Service, including the installable app, is licensed to you under our End User License Agreement, which forms part of these terms.
2. Accounts and workspaces
- A workspace is the space your business's data lives in. The person who creates it is its first administrator. Administrators decide who is invited and what each member can see.
- You must give an email address you control, keep your sign-in method secure, and tell us promptly at the address below if you think your account has been compromised. You are responsible for what happens under your account.
- You must be at least 18 and able to form a binding contract.
- Administrators are responsible for their members' use of the workspace, including for inviting only people entitled to see what they are given access to.
3. Free trial, fees and billing
- Each new workspace starts with a 14-day free trial. No card is needed to start one.
- After the trial the Service costs $97 per month per workspace, plus any applicable taxes, billed in advance each month through our payment processor, Stripe. We never see or store your full card or bank details.
- Subscriptions renew automatically each month until cancelled. An administrator can cancel at any time from Settings → Billing; the workspace stays active until the end of the period already paid for.
- Fees are non-refundable, including for partial months, except where the law requires otherwise.
- If a payment fails or a trial ends without a subscription, access to the workspace is paused until billing is brought up to date. Pausing does not delete your data.
- We may change prices with at least 30 days' notice by email to workspace administrators. A change takes effect at your next renewal after the notice period; you can cancel before then.
4. Your data
- You own it. Everything you and your members put into Arca — financial statements, documents, invoices, ownership records, notes and the rest ("Customer Data") — remains yours.
- You give us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy. We do not sell it and do not use it to advertise.
- Each workspace's data is kept separate from every other workspace's, and within a workspace each member sees only what their role and ownership permit.
- You are responsible for having the right to upload what you upload, including any personal information about other people, and for its accuracy.
- You can ask us to delete a workspace and its data at any time by writing to the address below. We keep a paused or cancelled workspace's data until you ask us to delete it or we end the Service under section 10, so that you can come back to it.
5. AI-assisted features
Some features read documents for you — for example, pulling the vendor, amount and due date out of an invoice, or the figures out of a financial statement — using a third-party AI model provider acting on our behalf. These features run only when you or a member uses them, and only on the document in question. Their output can be wrong. Review it before you rely on it; you remain responsible for the records you approve.
6. Not professional advice
Arca is a record-keeping and reporting tool. Figures it calculates — effective ownership, distribution splits, intercompany balances, budgets, reports — follow the data and settings you give it. Nothing in the Service is accounting, tax, legal, or investment advice, and it is not a substitute for your own professionals.
7. Connected services
You can connect third-party services such as QuickBooks Online or Google sign-in. Your use of them is governed by their own terms, and we are not responsible for them. You can disconnect them at any time, after which we stop fetching data from them.
8. Acceptable use
You agree not to, and not to let anyone else:
- use the Service for anything unlawful, fraudulent, or that infringes anyone's rights;
- try to reach data in a workspace you have not been given access to, or probe, scan or test the Service's security without our written permission;
- interfere with or overload the Service, or get around any usage or access limit;
- upload malware, or use the email and notification features to send unsolicited messages;
- resell or provide the Service to third parties as a service bureau, except to the members of your own workspace.
9. Availability and changes
We work to keep Arca available and your data safe, but we do not promise the Service will be uninterrupted or error-free. We improve Arca continually and may add, change or remove features; if we remove something material you are paying for, we will tell administrators in advance where we reasonably can.
10. Ending the agreement
- You can stop using Arca and cancel at any time (section 3).
- We may suspend or end your access if you materially break these terms and do not fix it within 15 days of our notice, immediately if the breach puts the Service, other customers, or anyone's data at risk, or if the law requires it.
- If we decide to discontinue the Service altogether, we will give administrators at least 60 days' notice and a way to export their data.
- Sections 4, 6, 11, 12, 13 and 15 survive the end of the agreement.
11. Disclaimer
Except as expressly stated in these terms, the Service is provided "as is" and "as available", and to the fullest extent the law allows we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
12. Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused; and each party's total liability arising out of or relating to these terms or the Service is limited to the amounts you paid Arca for the Service in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or to either party's liability for fraud or wilful misconduct.
13. Indemnity
You will defend and indemnify Arca against third-party claims arising from Customer Data you upload or from your use of the Service in breach of these terms, and pay any resulting costs and damages finally awarded or agreed in settlement.
14. Changes to these terms
We may update these terms. If a change is material, we will email workspace administrators and post the new version here at least 30 days before it takes effect. Continuing to use Arca after that date means you accept the new terms; if you don't, you can cancel before then.
15. General
- These terms are governed by the laws of the State of Missouri, USA, without regard to its conflict-of-laws rules, and the state and federal courts located in Missouri have exclusive jurisdiction over any dispute, except that either party may seek urgent injunctive relief in any competent court.
- These terms, the EULA and the Privacy Policy are the entire agreement between us about the Service. If any part is found unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver of it.
- You may not assign these terms without our consent; we may assign them to a successor to our business. Neither party is liable for delays caused by events beyond its reasonable control.
- We send notices to the email address of your workspace's administrators; you can send notices to us at the address below.
